1. Who you are contracting with

These Terms govern your use of RecruitIQ (the "Service"), operated by RecruitIQ LLC ("RecruitIQ", "we", "us", or "our"). By creating an account or using the Service you agree to these Terms. If you are using the Service on behalf of an organization, you confirm you have authority to bind that organization.

2. The Service

RecruitIQ is a tool for college coaches to scan recruiting brochures, build searchable player databases, take notes, rate players, and manage recruiting workflows. We may add, change, or remove features at any time.

3. Accounts

You must provide accurate information and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. Acceptable use

You agree not to misuse the Service, including: using it unlawfully; engaging in fraud or spam; infringing anyone's intellectual property; uploading malware; probing, scanning, or interfering with the security of the Service; or scraping the Service.

5. License & intellectual property

RecruitIQ retains all rights in the Service, including the software, design, branding, and documentation. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms and your active plan. You must not reverse engineer, resell, redistribute, or circumvent technical limits of the Service.

6. Your content

You retain ownership of the recruiting data, notes, and other content you upload. You grant RecruitIQ a limited license to host, process, and display that content solely to provide and improve the Service to you.

7. Payment & subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Subscriptions renew automatically each billing period until cancelled. Pricing, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms and our Refund Policy.

8. Service level & warranties

The Service is provided "as is" and "as available". We do not guarantee that it will be uninterrupted, error-free, or suitable for any particular purpose. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Limitation of liability

To the fullest extent permitted by law, RecruitIQ's aggregate liability arising out of or related to the Service will not exceed the fees you paid to access the Service in the 12 months before the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law.

10. Indemnity

You agree to indemnify and hold RecruitIQ harmless from any claim arising out of your content, your unlawful use of the Service, or your breach of these Terms.

11. Suspension & termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may cancel your subscription at any time; access continues through the end of your current billing period. On termination, we may delete your data after a reasonable export window.

12. Changes to the Service or Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice. Continued use of the Service after the changes take effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Disputes will be resolved in the courts of New York, unless required otherwise by applicable law.
